Objectives
On completion of the course the students should have understood the basic legal principles underlying corporate auditing and financial analysis.
Program
1. Concept of commercial company
2. Types of commercial companies - distinction criteria and consequences of the criterion in the legal regime of each type of commercial company.
3. Constitution of commercial companies. Analysis of the elements of the company contract. Irregular Societies.
4. Legal regime of commercial companies - analysis by type of company.
5. Transfer of shareholdings.
6. Social deliberations - forms of deliberation, notices, minutes and annual general meeting.
7.Corporate governance. Social bodies, their composition and duties. Responsibility of companies, members of corporate bodies, shareholders and social responsibility of the company.
8. Securities - notion, types, transmission and legal regime.
9. Public Offers.
Evaluation Methodology
There will be a written test on all the subject, being Dismissed exam the student who obtains the minimum grade of 10 (ten) values.
The student Admitted to the Exam will take a written exam, being Passed if he / she obtains 10 (ten) values.
At the time of appeal, the student who enrolls will take a written exam and will be Passed if he / she obtains 10 (ten) values.
